  1. Initial legal response upon receiving a complaint or whistleblowing disclosure: Preservation of evidence, interim protective measures and determining who should oversee the matter.
  2. Structuring an independent and defensible investigation: Appointment of investigators, terms of reference, conflicts of interest, reporting lines and separation between investigator and decision-maker.
  3. Confidentiality: Whether investigation materials are privileged, the risks of circulating reports and the limits of confidentiality assurances.
  4. Managing evidence and procedural fairness: Anonymous complaints, digital communications, personal devices, witness credibility, the employee’s right to respond and protection against retaliation.
  5. Post-investigation decisions and corporate response: Disciplinary action, regulatory reporting, board escalation, remediation, communications and managing subsequent litigation.
